Terms & Conditions

These Terms & Conditions govern your use of the Wanderglade platform, which is operated by Vanly, Co. (“Vanly,” “we,” “us”). By accessing or using the Wanderglade website or services, you agree to be bound by these Terms & Conditions and our Privacy Policy.

Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

  • Wanderglade refers to the online marketplace and platform operated by Vanly, Co. that allows Hosts to advertise accommodations and Guests to book said accommodations.

  • Site or Platform refers to the Wanderglade website at wanderglade.com and related mobile applications.

  • Services refers to the online accommodation booking and listing services provided by Wanderglade.

  • Host refers to a party that creates and publishes a Listing advertising an accommodation on Wanderglade.

  • Guest refers to a party that books an accommodation listed by a Host on Wanderglade.

  • Listing refers to the advertisement and associated content for an accommodation created by a Host on Wanderglade.

  • Booking refers to a confirmed reservation made by a Guest to stay at a Host’s accommodation listed on Wanderglade.

  • Total Booking Amount refers to the full charge to the Guest for a Booking, including nightly rates, fees, and taxes.

  • Service Fees refers to the fees charged by Wanderglade to Hosts and/or Guests for use of the platform and services.

  • Payment Service Provider or PSP refers to Stripe, the third-party service integrated with Wanderglade to process payments.

Scope of Service

1.1 Wanderglade is an online marketplace where Hosts can advertise their accommodations, and Guests can inquire and reserve said accommodations (each, a “Booking”). For Hosts to offer their vacant properties for short-term stays, and for Guests to proceed with Bookings, both parties must be registered on the Wanderglade platform.

1.2 When making a Booking through wanderglade.com, Guests enter into a direct and legally binding relationship with the respective Host, to which Wanderglade is not a party. Wanderglade does not own, manage, or operate any listed accommodations; sell, resell, offer, deliver, or supply any accommodations or Host services; nor is it an organizer or retailer of travel packages. Wanderglade acts solely as a marketplace where Hosts can advertise their accommodations for Guests to book and provides third-party tools to accept and manage payments from Guests on behalf of Hosts, subject to additional terms and conditions of such third parties. Hosts alone are responsible for their accommodations and services.

1.3 All information regarding listed accommodations is based on details provided by Hosts. Wanderglade does not endorse any listed Hosts. The Host is solely responsible for the information disclosed in their listings. While Wanderglade creates content on behalf of Hosts, all Hosts marketing and promoting their accommodations on Wanderglade have access to create, modify, and delete listings via the Host dashboard, through which they are responsible for updating rates, fees, availability, and general content. Wanderglade cannot guarantee the accuracy of information and is not responsible for errors, omissions, or represented by any Host’s opinions, practices, or policies. Each Host is solely responsible at all times for the quality, condition, safety, and legality of the advertised accommodations, accuracy of listing information, including rates and availability displayed on the site.

Eligibility, User Verification, and Platform Use

2.1 To use Wanderglade’s services or register an account, you must be at least 18 years old and legally able to enter into binding contracts. By using Wanderglade’s services, you represent and warrant that you are 18 or older and have the legal capacity and authority to enter into a contract.

2.2 Verifying user identities online is difficult, and Wanderglade does not assume responsibility for confirming any member’s identity. However, for transparency and fraud prevention purposes, as permitted by applicable laws, Wanderglade may (but is not obligated to) (i) ask members to provide government identification or other information to help verify identities or backgrounds, (ii) screen members against third-party databases and request reports from service providers, and (iii) obtain public records of criminal convictions, sex offender registrations, or equivalent background checks in your local jurisdiction (if available), where sufficient information identifies a member. Wanderglade reserves the right to notify users of suspected fraud or illegal activity related to the platform or services, but disclaims any express or implied warranties or obligations regarding accurate or timely warnings when a user engages in fraudulent or illegal conduct.

2.3 Accessing or using certain areas and features of the site may be subject to separate policies, standards, guidelines, or require accepting additional terms and conditions. If there is a conflict between these terms and conditions applicable to a specific area or feature, the latter terms will take precedence for your access or use of that area or feature, unless specified otherwise.

2.4 If you access or download the application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement. Some areas implement Google Maps/Earth mapping services, including Google Maps API(s), subject to the Google Maps/Google Earth Additional Terms of Service.

2.5 Wanderglade does not guarantee that the site will always be available, functional, or accessible at any particular time while modifications are being made.

2.6 Wanderglade cannot guarantee that the site will work as advertised or provide any desired results.

Modifications to the Site or These Terms

3.1 Wanderglade reserves the right, at its sole discretion, to modify the site or these Terms at any time without prior notice. If any modifications are made to the Terms, notification will be posted on these Terms on the platform with an updated “Last Updated” date at the top, and/or Wanderglade may also notify you of such changes to the Terms by email at least fifteen (15) days before the effective date. If you disagree with the revised Terms, you may terminate this Agreement with immediate effect. The notification email will inform you of your right to terminate the Agreement. If you do not terminate your Agreement before the revised Terms become effective, your continued access to or use of the platform will constitute acceptance of the revised Terms.

Host Registration

4.3.1 As a Host, to create and publish Listings for your accommodations on our site, you must sign up and agree to these Terms to create a Host Account. We store a digital version of the agreed Terms, which you can download from your dashboard or by contacting support@wanderglade.com.

4.3.2 When registering, you agree to register on behalf of yourself or your company only and provide truthful and accurate information for your Host Account.

4.3.3 You are responsible for any activity involving your Host Account; contact support@wanderglade.com immediately if your account information has been compromised.

4.3.4 Upon receiving your sign-up, we will create your Host Account and give you access to your dashboard based on the information provided. Your information will be collected and used per our Data Protection Policy.

4.3.5 You can create and manage all your Listings from your dashboard, where you can change and modify details including rates, availability, property and accommodation information.

4.3.6 To create a Listing, Hosts must provide certain information about the accommodations, including location, number of units and maximum capacity, rates, availability, amenities and facilities, taxes and service fees, cancellation policies, and photos. Once published, Hosts should continue updating content as needed. Wanderglade may modify Listing changes per our voice and branding before publishing.

4.3.7 You agree that all information provided is accurate and up-to-date, including photos, rates, availability, amenities and facilities, and that your accommodation conforms to all applicable laws, taxes, and regulations. You release Wanderglade from any liability and agree that you are solely responsible for any matter regarding applicable laws, taxes, or regulations related to using this site and your accommodations (Listings).

4.3.8 Wanderglade reserves the right to refuse to list any accommodation or Listing, at any time, for any reason, without liability to you. We also reserve the right to terminate any confirmed Booking and/or Listing if we obtain information that may compromise the Guest’s safety.

Fees

5.1 Wanderglade may charge fees (“Wanderglade Service Fees”) to Hosts (“Host Service Fees”) and/or Guests (“Guest Service Fees”) for using the Wanderglade platform and services provided.

Guest Service Fees

5.2.1 Wanderglade charges Guest Service Fees to Guests who book an accommodation via the site checkout. The Guest Service Fee covers using the site, which may include features like user support, electronic payment acceptance, and disbursement of funds to Hosts.

5.2.2 The Guest Service Fee is calculated as a percentage of the sum of (i) the nightly rate multiplied by the number of nights, and (ii) the tax applied to the total nightly rate. The percentage will vary between 0-20% based on the nightly rate amount. Generally, higher nightly rates have a lower Guest Service Fee percentage. The applicable percentage and Guest Service Fee amount will be included in the final quote before the Guest finalizes the Booking Request to the Host. Depending on the Guest’s and/or Host’s jurisdiction, value added taxes may be charged on top of the Guest Service Fee. The exact Guest Service Fee (and any applicable value added taxes) will be displayed at checkout. The Guest Service Fee is non-refundable, and any refund is strictly at Wanderglade’s discretion.

5.2.3 If a confirmed Booking’s duration is extended, an additional Service Fee will apply to the added night(s) amount.

5.2.4 If a Guest cancels a confirmed Booking, the Guest Service Fee is non-refundable. Wanderglade is not required to refund the non-refundable Guest Service Fee under any circumstances, except at our sole discretion for the following events evaluated case-by-case:

Weather/Natural Disasters:

A. Earthquakes causing damage to the booked accommodation or major access highways. B. Floods/Severe Rain at the accommodation’s location, not the Guest’s origin. C. Wildfires causing potential harm/danger to the Guest at the accommodation, or damaging/blocking major access roads. D. Hurricanes at or near the accommodation’s location, not the Guest’s origin area. E. Damage to the accommodation due to weather, causing advertised amenities to be unusable. F. The Host confirming a natural disaster in their area would cause significant harm/danger to the Guest.

In all cases:

  • Weather will be checked and referenced using http://worldweather.wmo.int/en/home.html.

  • The issue must be confirmed within 50 miles of the affected area.

  • If a natural disaster occurred, it must be within 1 month of the check-in date.

  • Hosts and Guests must notify Wanderglade prior to check-in.

Other Extenuating Circumstances:

A. Death of an immediate family member of any guest in the travel party, with a death certificate provided within 2 weeks. B. Hospitalized illness/accident of any guest in the travel party, with an authentic doctor’s letter satisfying Wanderglade’s requirements.

Host Service Fees

5.3.1 There is no cost to Hosts for listing accommodations. However, Wanderglade will assess a Host Service Fee of up to 10% of the Booking subtotal (excluding taxes) on any confirmed Booking (“Host Service Fee”). The fee will be subtracted from the Total Booking Amount sent to the Host, excluding taxes.

5.3.2 Wanderglade will collect the Host Service Fee at Booking confirmation and begin disbursing the Booking Payout to the Host 24 hours after Guest check-in (except for cancellations where a Guest refund is due, then funds will be released per the cancellation policy).

5.3.3 Depending on jurisdictions, VAT may be charged on the Service Fee. Note that Wanderglade does not cover third-party payment transfer fees to Hosts, including PayPal, TransferWise, bank transfers, and currency conversion fees, which will be deducted from Booking amounts due.

Changes in Fees

5.4.1 Wanderglade reserves the right to change Service Fees at any time prior to Booking confirmation. If changes occur, the affected party will be notified. If a Guest or Host fails to accept such a change, their sole remedy is to terminate these Terms and cease using our services. Continued use after notification constitutes acceptance of the fee changes.

Low Fee Guarantee

5.4.2 Wanderglade offers a Low Fee Guarantee to Hosts, promising to match the fees charged by competitors such as Airbnb, Vrbo, Hipcamp, and Glamping Hub. If a Host finds a lower fee on any of these competing platforms for a comparable service, Wanderglade will adjust its Host Service Fee to match, ensuring Hosts always receive the most competitive rate. To request a fee match, Hosts must provide documentation of the lower fee and meet any additional requirements set forth by Wanderglade, which may include proof of an active listing on the competing platform and a comparison of the services offered. The Low Fee Guarantee applies to the base Host Service Fee and does not include any additional fees or charges that may be imposed by the competing platform. Wanderglade reserves the right to verify the accuracy of any fee match request and to deny requests that do not meet its criteria. The Low Fee Guarantee is subject to change or discontinuation at Wanderglade’s sole discretion.

0% Fees for First 100 Listings For the First Year

5.4.3 As a special promotion, Wanderglade is offering 0% Host Service Fees for the first year to the first 100 listings approved on our platform. This offer applies to the first 100 approved listings, not listing applications. To be eligible, Hosts must have their listing approved and in compliance with all Wanderglade policies and guidelines. After the first year or for listings beyond the first 100, the standard Host Service Fees will apply. Wanderglade reserves the right to modify or discontinue this promotion at any time, with notice to Hosts.

Guest Bookings

6.1 After visiting wanderglade.com, you may wish to book an accommodation with one of our Hosts. You do not need to register or set up a Guest account to submit a query or message through the Contact Host Tool on the site or make a Booking Request.

6.2 Wanderglade offers two booking methods: Booking Requests and Instant Booking. Each Host determines which methods to offer. Some Hosts also allow prospective Guests to submit queries via the Contact Host Tool prior to a Booking Request.

Booking Request

6.3.1 When submitting a Booking Request, you will be required to enter your credit card or other payment details, which may be verified and/or pre-authorized by our Payment Service Provider (“PSP”). You will not be charged until your Request is confirmed by the Host. The Request status will remain pending until Host confirmation, which may happen immediately or take over 24 hours. Ensure your provided payment covers the full booking total. Guests must accurately represent their party details, including total guests, children, infants, pets (regardless of pet policies), and any other pertinent information. Failure to do so may result in penalties, loss of review rights, and cancellation policy penalties.

6.3.2 Upon a Host confirming your Booking Request, the Host agrees to allow you to occupy the accommodation during the confirmed dates, and you agree to pay the Total Booking Amount in full (including Guest Service Fees). By submitting a Request, each Guest agrees to these Terms, the relevant cancellation policies, consenting to their payment method being charged the Total Amount, as well as the Host’s own rules and regulations.

6.3.3 Once the Request is submitted, the Host will confirm/decline and/or communicate with you through Wanderglade’s platform message thread to discuss your stay details. Once confirmed, we will share your information with the Host for booking-related purposes only. Please see our Data Protection Policy on how we share and protect your personal information.

6.3.4 If you do not receive a Host response within 24 hours of your initial Request, you can withdraw it at no charge. For certain policies, there is 24-hour free cancellation after Host confirmation, as long as outside the cancellation policy refund cutoff.

Instant Booking

6.4.1 Some accommodations on the site allow Instant Booking. When submitting an Instant Booking, your Request is immediately confirmed, you will receive a confirmation email, and be fully charged the Total Booking Amount (including Guest Service Fee).

6.5 The Host’s information like name, phone, email, accommodation name and address will be included in the confirmation email and displayed in your dashboard once payment is processed.

6.6 All Host-Guest communication must remain within the platform until booking confirmation. The Guest’s contact information will not be revealed to the Host until the Request is confirmed. Per our Data Protection Policy, Wanderglade will only reveal Guest personal data to provide the accommodation service.

6.7 Wanderglade will notify Guests by email and/or through the dashboard whenever they receive a booking confirmation, declined Request, offer, or new Host messages.

6.8 Hosts have the right to decline any Guest’s Booking Request at any time, for any reason, without liability to the Guest. All listed accommodations are independently and privately owned, so a Host may refuse animals (including service/therapy animals) or children based on health and safety reasons per public regulations or laws. However, by accepting these Terms, all Hosts agree not to discriminate against any Guest based on sexual orientation, gender, race, religion, ethnicity, or nationality.

Host Bookings

7.1 As a Host, once your accommodation’s Listing is successfully approved and published, Guests will be able to book via wanderglade.com based on the provided Listing information.

7.2 Wanderglade offers Hosts two booking methods to display accommodations: Booking Request and Instant Booking. Hosts decide which type to receive. To offer Instant Booking, the Host’s accommodations must meet certain criteria, including up-to-date rates, content, and instantly updating calendar availability (manually or via sync) whenever arranging Bookings outside Wanderglade.

Booking Request

7.3.1 As a Host receiving a Booking Request, you must confirm, decline, or communicate with the Guest via our platform within 24 hours. After submitting a Request, the Guest can withdraw it at no cost or penalty. For certain policies, there is 24-hour free cancellation after Host confirmation if outside the cancellation refund cutoff period.

Instant Booking

7.4.1 When a Guest uses Instant Booking, the Booking is immediately confirmed, the Guest is automatically charged in full and receives a confirmation email. The Host also automatically receives an email with the Guest’s contact information.

Booking Offers

7.5.1 After a Guest submits a Request or Contact Host message for your accommodation, you can send them a new offer with different date, rate or alternative accommodation options to accept or reject. Once accepted, the offer becomes a confirmed Booking.

7.6.2 Hosts have the right to decline any Guest’s Request at any time, for any reason, without liability. If offering Instant Booking, it’s understood Hosts cannot refuse Guests. As independently owned accommodations, Hosts may refuse animals (including service/therapy) or children, regardless of public regulations. However, by accepting these Terms, all Hosts agree not to discriminate against Guests based on sexual orientation, gender, race, religion, ethnicity, or nationality.

7.6.3 A Guest’s personal information like name, phone, email, and accommodation address will be withheld until a Booking is confirmed.

7.6.4 All communication must remain within the platform until booking confirmation. Inversely, the Host’s contact information will not be revealed to Guests until confirmation. Per our Data Protection Policy, Wanderglade will only reveal a Host’s personal data for fulfilling Booking services.

7.6.5 Wanderglade will notify Hosts by email and/or through the dashboard whenever they receive a Contact Host message, Booking Request, confirmation, cancellation, or new Guest message. Additionally, SMS notifications (for those signed up) will be sent for submitted Requests or Instant Bookings.

7.6.6 As a Host, you understand that once confirming a Request, you enter into a direct, binding agreement with the Guest to honor the confirmed price and dates. You understand Wanderglade is not a party to such Agreement. Wanderglade merely serves as a platform to list accommodations, manage Bookings, accept/process Guest payments on behalf of Hosts, and disburse payments to Hosts after applicable Service Fees. Wanderglade reserves the right to penalize Hosts for any confirmed Bookings they cannot honor, including listing penalties or account termination.

Guest Booking Payments

8.1 You acknowledge and agree that Booking Requests are not confirmed, and Hosts are not obligated to make the accommodation available until after you receive a confirmation email.

8.2 All payments displayed on the checkout page must be made to the Host and Wanderglade respectively via the designated Payment Service Provider (PSP) in USD.

8.3 Wanderglade currently only accommodates charges in USD. You may see nightly rates quoted on the site in your local currency based on factors like URL and IP address. However, the Total Booking Amount (including Guest Service Fee) will be charged in USD as listed on the checkout page. Note that credit card issuers and third-party payment processors may impose fees for currency conversions. Wanderglade is not responsible for any such fees.

8.4 Once a Booking Request is confirmed, you agree to pay the Total Booking Amount to Wanderglade and the Host per these Terms. Upon submitting a Request, you authorize Wanderglade and the Host, via their PSP, to charge the Total Amount to your credit card or payment method on file.

8.5 Wanderglade provides support and facilitates Guest-Host communication regarding the Booking up until check-in. Wanderglade will not be liable for any extra charges occurring outside the platform.

8.6 As a Guest, you understand that once you have a confirmed Booking, you enter into a direct, binding agreement with the Host. You understand Wanderglade is not a party to such Agreement. Wanderglade merely serves as a platform to list accommodations, manage Bookings, accept and process Guest payments on behalf of Hosts, and disburse payments to Hosts after applicable Service Fees.

8.7 You acknowledge and agree that: (i) Your Total Booking Amount payment is a transaction between you and the Host, not Wanderglade; and (ii) the designated PSP is a third-party processor operating on the Host’s behalf. For certain Bookings, the PSP will disburse the Total Amount directly to the Host, and for others to Wanderglade on the Host’s behalf. Where remitted to Wanderglade, it acts as the Host’s agent for payment receipt, not your agent for sending payment. Receipt by Wanderglade concludes your payment obligation to the Host and obligates them to make the accommodation available during the agreed dates.

8.8 When Wanderglade receives your Total Booking Amount, you have no further payment obligation to the Host for that Booking. The payment transaction is consummated, and the Host shall have no recourse against you for that amount. If the Host requests further payment after confirmation due to incorrect pricing or unwillingness to honor the reservation, you may opt to pay the new Total Amount or cancel for a full refund.

8.9 You will receive a confirmation from Wanderglade acknowledging your payment processing.

8.10 If you fail to pay any amount due to Wanderglade or in its capacity as the Host’s agent, Wanderglade reserves the right to initiate collection action to recover funds, including reasonable attorneys’ fees and expenses incurred.

8.11 You represent and warrant having the legal right and authority to use your credit card or payment method, authorizing Wanderglade to charge it per this Agreement for amounts you authorized through the Services, including Host fees, taxes Wanderglade must collect, and Service Fees. You also authorize crediting/debiting for Service Fees, chargebacks, refunds, reversals or adjustments. Upon request, you agree to sign a direct debit mandate form to allow Wanderglade to debit your bank account for fees and amounts owed.

8.12 For payments you believe were improperly processed, Wanderglade may void, rescind, or issue a credit prior to paying the Host, per applicable law. If a dispute arises after Wanderglade pays the Host, settling it rests with you and the Host.

Host Booking Payments

9.1 For Hosts contracted with Wanderglade, all payments for confirmed Bookings made through the site will be collected by Wanderglade, who will take custody of the funds as the limited payment collection agent for the Host. When a Guest makes a payment, their obligation to the Host is satisfied, and the Host is then bound to provide the accommodation on the confirmed dates. Wanderglade partners with Stripe as its payment service provider (PSP). By using Wanderglade’s services to process payments, Hosts agree to the Stripe Connected Account Agreement (https://stripe.com/us/connect-account/legal) and go through Stripe’s vetting process to set up a Stripe account to receive funds. Accepting these Wanderglade Terms confirms the Host has reviewed and agreed to Stripe’s Connected Account Agreement. Note that Wanderglade itself is not a party to the agreement between Hosts and Stripe.

9.2 For Bookings paid through Wanderglade, the Total Booking Amount collected from the Guest (excluding Wanderglade’s Service Fees) will be transferred from Wanderglade’s account to the Host’s Stripe account the day after the Guest’s check-in date. Stripe will then disburse payouts from the Host’s Stripe account balance every 2 weeks on the 1st and 15th of the month. If the funds held by Wanderglade are insufficient to cover Service Fees or other amounts owed to Wanderglade by the Host, Wanderglade is authorized to debit the Host’s bank account on file for the applicable amounts due.

9.3 Payments to Hosts by Wanderglade are subject to delays due to bank holidays and specific banks’ efficiency. Note that Wanderglade does not cover third-party fees when transferring Host payments, including PayPal, TransferWise, bank transfers, and currency conversion fees, which will be deducted from Booking amounts due.

9.4 Hosts accepting Guest credit card, banking or other payment information agree to properly handle and safeguard all such information per applicable legal, regulatory, card organization rules and best practices.

9.5 Wanderglade may, at its sole discretion, place a hold on a portion of Host amounts due if believing there is a high level of associated business risk. If placing a hold, Wanderglade will notify the Host of the terms, which may require a certain percentage of amounts due be held for a period, a fixed settlement amount withheld, or other restrictions Wanderglade solely determines. Wanderglade may change hold terms at any time with notice. Holds may be reserved as long as deemed necessary by Wanderglade to mitigate Booking risks. Hosts remain liable for all Booking obligations even after a hold release. Additionally, Wanderglade may require Hosts to keep bank accounts available for open settlements, chargebacks and adjustments.

Host Referral Program

9.6 Wanderglade offers a Host Referral Program, providing a $150 reward for each successful Host referral. To qualify, the referred Host must create a listing on Wanderglade, have the listing approved, and receive their first booking. Also to qualify, the referrer must have verified their email and phone number on their Wanderglade account via Wanderglade onboarding flow. The referral bonus will be paid out to the referring Host upon the referred Host’s first booking payout. Hosts must comply with all referral program requirements, including providing accurate referral information and not engaging in any fraudulent or misleading referral activities. Wanderglade reserves the right to modify or discontinue the Host Referral Program at any time, with notice to Hosts.

Damage Protection

9.7 Wanderglade offers Hosts property protection up to $1,000,000 for real property damages and up to $25,000 for contents damage through the RentalGuardian protection program.

9.7.2 This protection includes:

  • Real Property Protection: $1,000,000 per occurrence with a $2,500 deductible.

  • Contents Damage Protection: $25,000 per occurrence with $0 deductible and a $25 minimum claim; $2,000 limit per any one item.

  • Bed Bug Protection: $15,000 per occurrence with a $100 deductible.

9.7.3 Property protection applies to sudden and accidental property damage at the protected location for which a contracted guest becomes legally liable in accordance with a rental agreement. Protection is restricted to apply only for the period during the rental agreement.

9.7.4 Approved damages will be reimbursed and payable to the Property Manager at replacement cost without deduction for depreciation. The total program limit of liability for all damages occurring for the period of any one rental agreement, regardless of the number of items or units damaged, will be no more than the applicable property protection limits shown above.

9.7.5 The protection will reimburse only when damages exceed the applicable deductible shown above.

Liability Coverage

9.8 Wanderglade, in partnership with RentalGuardian, provides Hosts with comprehensive liability coverage for each booking made through the Wanderglade platform. This policy is designed to cover unique liability risks associated with short-term vacation rental properties.

9.8.1 The liability coverage includes the following limits of insurance:

  • Each Occurrence: $1,000,000

  • General Aggregate: $2,000,000

  • Bodily Injury & Property Damage: $1,000,000

  • Personal & Advertising Injury: $1,000,000

  • Invasion of Privacy: $1,000,000

  • Liquor Liability: $1,000,000

  • Animal/Pet Liability: $1,000,000

  • Bed Bug Liability: $15,000

9.8.2 The liability coverage is subject to the terms, conditions, and exclusions outlined in the RentalGuardian insurance policy, which is incorporated herein by reference. Hosts are encouraged to review the full policy for a complete understanding of the coverage provided.

9.8.3 Hosts agree to cooperate with Wanderglade and RentalGuardian in the event of any claims or investigations related to the liability coverage. This includes providing necessary documentation, participating in interviews or depositions, and complying with any reasonable requests from Wanderglade or RentalGuardian.

9.8.4 Wanderglade reserves the right to modify or discontinue the liability coverage at any time, with notice to Hosts. In the event of any changes to the coverage, Hosts will be provided with updated information and asked to acknowledge their understanding and acceptance of the changes.

Medical Payments to Others

9.10 The protection will pay the necessary medical expenses that are incurred or medically ascertained within three years from the date of an accident causing bodily injury. Medical expenses means reasonable charges for medical, surgical, X-ray, dental, ambulance, hospital, professional nursing, prosthetic devices, and funeral services.

9.10.1 This protection does not apply to you, regular guests of the Vacation rental homeowner’s household, or any non-contracted guests. As to others, this protection applies only:

- To a person on the protected location with the permission of the Property Manager. - To a person on the protected location with the permission of the contracted guest.

9.10.2 The total liability under medical payments to others for all medical expenses payable under bodily injury to one person as the result of one accident will not be more than the medical payments to others limit of liability shown above.

Taxes

10.1 As a Host, you are solely responsible for determining your obligations to report, collect, remit, or include in your Listing any applicable VAT, other indirect sales taxes, occupancy tax, tourist or visitor taxes, or income taxes (“Taxes”) through your dashboard. Wanderglade does not remit taxes on behalf of Hosts under any circumstances. By accepting bookings through the platform, you acknowledge understanding the tax laws and requirements for your property and agree to properly document and pay these taxes per local, state, and federal laws.

10.2 You understand that any appropriate governmental tax authority (“Tax Authority”) where your accommodation is located may require taxes to be collected from Guests or Hosts and remitted to the respective Tax Authority. Laws vary by jurisdiction, but these Taxes may be required as a percentage of the Total Booking Amount set by Hosts, a set daily amount, or other variations, sometimes called “transient occupancy taxes,” “hotel taxes,” “lodging taxes,” “city taxes,” “room taxes,” or “tourist taxes” (“Occupancy Taxes”).

10.3 Hosts are responsible for updating their tax information on their dashboard and including the appropriate percentage to be added to the Total Booking Amount displayed to the Guest.

10.4 Tax regulations may require us to collect appropriate Tax information from Hosts. If a Host fails to provide documentation we determine sufficient to alleviate our obligation (if any) to withhold Taxes from Booking Payouts, we reserve the right to freeze all Payouts, withhold required amounts by law, or both, until resolution.

10.5 Hosts in areas with Occupancy Tax are responsible for assessing all other tax obligations, including state and city jurisdictions. Hosts with listings in these areas should familiarize themselves with the Occupancy Tax provisions. We provide a section on the Host dashboard for including these taxes; however, as a Host, you are solely responsible for collecting and paying them to your corresponding tax authorities.

Booking Modifications, Cancellations and Refunds

Booking Modifications

11.1.1 Guests and Hosts are responsible for any booking modifications processed through the Wanderglade platform, either directly or by contacting support. Guests agree to pay any additional amounts, fees, or taxes associated with a Booking Modification.

11.1.2 All payments are final at the time of an accepted modification. Guests acknowledge the new total booking price will be charged to their card in full, and the original transaction fully refunded. If the card cannot be charged, the original booking remains, and modification is not processed until the new price can be charged in full. Guests acknowledge refunds for the original transaction can take 5-7 business days to reflect in their bank account.

11.1.3 Other considerations when modifying bookings:

  • Guests cannot modify after check-in.

  • The cancellation policy remains the same and refers to the original check-in date. If the new check-in is sooner, the policy defaults to the earliest date.

  • Changing dates may affect eligibility for any nightly discounts from the original booking.

  • To update modification request details, withdraw the original and submit a new one. Resubmit if done incorrectly.

  • Hosts have 24 hours to accept/decline a modification request. If no response, it expires, and the original booking remains.

Cancellations

11.2.1 All Hosts must select a cancellation policy for their accommodations, visible and applicable to Guest payments. As a Guest, you are encouraged to fully read and understand the different cancellation policies before booking. To cancel a booking or request a refund, do so through your dashboard.

11.2.2 If an accommodation is unavailable due to Host failure (e.g. double booking), the Host must provide the Guest a full refund regardless of the cancellation policy.

11.2.3 If a Guest does not accurately represent their party details in the confirmed booking (e.g. age, extra guests, pets, children), and the Host denies the extras and/or requests the Guest to leave, the Guest forfeits any refund rights.

11.2.4 Note that Guest Service Fees are non-refundable once the Host confirms the booking. While a booking may be fully refundable per the cancellation policy, the Guest Service Fee is non-refundable.

11.2.5 If a Guest wishes to cancel due to extenuating circumstances, they should not cancel through the dashboard per the policy, but instead contact support@wanderglade.com.

Disputes Between Guests and Hosts

12.1 In the event of any dispute between a Guest and Host, Wanderglade may, at its discretion, assist in resolving such dispute. However, both Guests and Hosts agree that Wanderglade is not responsible for and has no liability regarding any Guest/Host disputes or their resolution.

12.2 If a Host claims and provides evidence that a Guest has damaged an accommodation or personal/other property (“Damage Claim”), the Host can independently seek payment from the Guest. If a Host escalates a Damage Claim to Wanderglade, Wanderglade may, at its discretion, involve the Guest. If the Guest agrees to pay the Host, or Wanderglade solely determines the Guest is responsible, we will collect any such sums from the Guest and/or against the Wanderglade protection policy required to cover the Claim per the Payment Terms. Wanderglade also reserves the right to otherwise collect from the Guest and pursue available remedies in situations where the Guest is responsible for a Claim, including any Host payment requests under the Host guarantee.

12.3 Users agree to cooperate in good faith with Wanderglade, providing information and taking actions reasonably requested in connection with any Damage Claims or other member complaints/claims relating to accommodations or personal/other property located there (including payment requests or experiences).

12.4 If a Guest files a credit card dispute, they give Wanderglade the right to produce all obtained Guest information to fight the dispute, including emails, platform messaging, phone transcripts, Host photos, etc. If a Guest files a credit card dispute, Wanderglade will not guarantee any refund until the dispute is dropped or a refund is mandated by the bank.

Verified Guests and Hosts

Wanderglade prioritizes a trusted and verified community of guests and hosts through various verification methods: 13.1 ID Verification: Wanderglade requires guests to verify their identity by providing a government-issued ID and/or selfie before booking, as permitted by applicable laws. Wanderglade uses Stripe’s ID verification services for this process.

13.2 Email and Phone Verification: Guests and hosts must verify their email addresses and/or their phone numbers to complete registration.

13.3 Payment Verification: Guests must provide valid payment information that is verified by Stripe’s payment processing systems. Hosts must provide verified bank account information.

13.4 Host Residency Proof: In addition to ID and payment verification, hosts must provide proof of residency for the listing address they are renting out.

13.5 Wanderglade reserves the right to request further verification from users after registration or booking to enhance trust and safety.

13.6 Failure to provide requested verification information by specified deadlines may result in cancellation of bookings or account suspension.

13.7 Wanderglade uses provided verification data for upholding community guidelines, legal compliance (including taxes), fraud detection, conducting permitted background checks, assisting with safety/security, and cooperating with law enforcement investigations as needed.

13.8 Wanderglade will retain verification data only as required for the purposes above and in compliance with data protection laws. Government IDs will be deleted after prescribed retention periods.

Content

14.1 Wanderglade may, at its sole discretion, enable Hosts/Guests/third parties to (i) create, upload, post, submit, transmit, publish, and store photos, diagrams, text, videos, sounds, or information (Content) on or through the platform and (ii) access and view Host/Guest/third party Content and any Content that Wanderglade makes available, including proprietary Wanderglade Content and third-party licensed/authorized Content.

14.2 You will not use, copy, adapt, modify, prepare derivative works, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit the Wanderglade platform or Content, except as the legal owner of certain Content or as expressly permitted in these Terms.

Host Content Creation

14.3.1 We may permit Hosts to create, post, upload, publish, submit, or transmit Content at our sole discretion. By making any Content available on or through the site, you grant Wanderglade a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, publicly display, publicly perform, transmit, stream, broadcast, and access such Content on, through, or by means of the site. Wanderglade does not claim ownership of such Content, and nothing in these Terms restricts your rights to use and exploit it.

14.3.2 You acknowledge and agree that you are solely responsible for all Content uploaded, created, transferred, and sent through the site. Accordingly, you represent and warrant that: (i) you are the sole and exclusive owner of all Content made available through the site or have all necessary rights, licenses, consents, and releases to grant Wanderglade the rights in such Content as contemplated under these Terms; and (ii) neither the Content nor your posting, uploading, publication, submission, or transmission of the Content or Wanderglade’s use of the Content (or any portion) will infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, other intellectual property rights, rights of publicity, data protection, or result in violation of any applicable law or regulation.

Listing Boosting

14.4.1 Host Listings will be boosted in search rankings based on an algorithm considering factors like response rate, consistent booking confirmations, photo quality, review quality, quantity of bookings received, calendar availability, rate accuracy, etc. Contact support@wanderglade.com with any questions on how this algorithm works or improving a Listing’s boost.

Appearance in Search Results

14.5.1 Wanderglade cannot guarantee your listing will appear in any specific order or collection in the search results. Results and order will fluctuate based on various factors. Appearance or order may also vary depending on the traveler’s search criteria. Wanderglade reserves the right to apply different search algorithms or optimize results for the overall marketplace.

Professional Photos

14.6.1 Wanderglade may offer Hosts the option for professional accommodation photos. The Wanderglade-contracted media professional will send edited photos to be included in the Host’s Listing(s). Wanderglade will distribute the photos accordingly. The Host is responsible for ensuring these photos accurately represent their accommodation(s); any specific requests must be agreed upon with Wanderglade and the professional per the signed media stay contract.

14.6.2 You (Host) acknowledge and agree that Wanderglade shall have the right to use any of these photos for advertising, marketing, and/or other business purposes in any media or platform, whether related to your Listing or not, without further notice or compensation.

14.6.3 Where Wanderglade is not the exclusive owner, by using them on the platform, you grant Wanderglade an exclusive, worldwide, royalty-free, irrevocable, perpetual (or per protection term), sub-licensable, transferable license to use such photos for advertising, marketing, and/or other business purposes in any media or platform, whether related to your Listing or not, without further notice or compensation. Wanderglade grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to use these photos outside the platform solely for personal, non-commercial use.

Ownership, Property Rights and Copyright Policy

15.1 The Wanderglade platform and content may in whole or part be protected by copyright, trademark, and/or other laws of the United States and other countries where Wanderglade provides services. You acknowledge and agree that the Wanderglade platform and content, including all associated intellectual property rights, are the exclusive property of Wanderglade and/or its licensors or authorizing third parties. You will not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Wanderglade platform and content. All trademarks, service marks, logos, trade names, and other source identifiers of Wanderglade are trademarks or registered trademarks of Wanderglade in the United States and abroad. Third-party trademarks, service marks, logos, trade names, and proprietary designations used on or in connection with the Wanderglade platform are for identification purposes only and may be their respective owners’ property.

15.2 Wanderglade respects copyright law and expects its users to do the same. It is Wanderglade’s policy to terminate, in appropriate circumstances, the accounts of users or other account holders who repeatedly infringe or are believed to repeatedly infringe on copyright holders’ rights.

15.3 All trademarks, service marks, logos, trade names, and other proprietary designations of Wanderglade used herein are trademarks or registered trademarks of Vanly, Co. Any other trademarks, service marks, logos, trade names, and proprietary designations are the trademarks or registered trademarks of their respective parties.

Reviews and Ratings

16.1 After your stay as a Guest, you may be able to post reviews of Hosts or accommodations through the Wanderglade platform. Please be aware that all user reviews are subject to the content license listed under clause 14 of this document. If a Guest cancels their stay or leaves the accommodation before completing it, their right to leave a review may be revoked. We appreciate honesty and candor in reviews; however, we reserve the right to modify, edit, or remove any reviews that:

  • Do not provide accurate or truthful accounts of what occurred during or outside the stay

  • Contain profanity, sexually explicit content, hate speech, discriminatory remarks, threats, or violence

  • Mention full names or other personal information

  • Include personal attacks toward Hosts or Wanderglade staff

  • Promote illegal activities

  • Personally discount other Guests’ property reviews

  • Contain politically insensitive comments

All review publication is at the discretion and judgment of Wanderglade, and we reserve the right to edit, refuse, or remove reviews from the site.

16.2 Wanderglade does not tolerate any attempts to manipulate reviews, including but not limited to:

  • Writing fake or misleading reviews

  • Offering incentives in exchange for positive reviews

  • Soliciting reviews only from those expected to leave positive feedback

  • Discouraging or suppressing negative reviews

  • Soliciting reviews from those who have not actually used the product/service

Any such attempts at review manipulation will result in appropriate action by Wanderglade, up to and including account suspension or termination.

Links

17.1 The Wanderglade site may contain links to third-party websites or resources. You acknowledge and agree that Wanderglade is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to these websites or resources do not imply any endorsement by Wanderglade of the websites, resources, content, products, or services available from them. You acknowledge sole responsibility for and assume all risk arising from your use of any such third-party websites, resources, content, products, or services.

Compliance With Laws and Regulations

18.1 Wanderglade is not responsible for any violation of laws while using our site. Guests and Hosts must comply with all applicable national, state, local, or U.S. federal laws, ordinances, regulations, and requirements related to taxes, credit cards, data and privacy, permits or license requirements, zoning ordinances, safety compliance, anti-discrimination, fair housing laws, etc., including card network operating rules regarding their use of our site, bookings, and any services provided. Our site and services are void where prohibited.

18.2 Though Wanderglade is not a party to any stay and assumes no liability for legal or regulatory compliance pertaining to rentals of listed accommodations, Wanderglade may provide information relating to listings and bookings to governmental bodies and other third parties as deemed necessary to comply with applicable laws at its sole discretion.

18.3 Guests and Hosts are solely responsible for obtaining any required licenses, permits, or registrations for their bookings and accommodations. Wanderglade provides information about listings and bookings for informational purposes only and makes no representations or warranties about compliance with applicable laws and regulations, which may change over time.

18.4 By using the Wanderglade platform, you agree to use the site and services in compliance with all applicable laws, regardless of your knowledge of such laws and regulations. You are responsible for ensuring your use of the site complies with laws applicable to you.

Non-Party

19.1 All Guests and Hosts agree that Wanderglade is not a party to any contracts created between a Guest and Host, including but not limited to short-term rental agreements. Wanderglade is merely a website, platform, set of tools, and/or service that helps connect Guests and Hosts. This remains true even if Wanderglade allows booking an accommodation or provides other ancillary products or services, as the site may facilitate bookings, tools, services or products, but Wanderglade is not party to any agreement between users.

19.2 As a result, any part of an actual or potential transaction between Guest and Host, including the quality, condition, safety or legality of advertised accommodations, the truth or accuracy of listings (including content or reviews), the ability of Hosts to rent an accommodation or Guests to contract for properties, are solely the responsibility of each user.

19.3 You acknowledge and agree that you may be required to enter into separate agreements, waivers or terms and conditions before making a booking or purchasing a product or service, and Wanderglade or its affiliates may place additional restrictions (such as rental agreements, security deposits, penalties for violating house rules, etc). You agree that Wanderglade is not liable for and cannot accept any liability in conjunction with contracts created between you and third parties. Wanderglade does not transfer legal ownership, title, or rights to any properties or listings through its site or services.

19.4 Wanderglade has no control over the conduct of Hosts, Guests and other users of the platform or any accommodations, and disclaims all liability for any failure by users to comply with applicable laws and regulations when listing, booking or renting accommodations.

Payments Service Provider

20.1 Each Host collecting payment for Bookings made via wanderglade.com hereby appoints Wanderglade or the Payment Service Provider (PSP), as applicable, as its payment processor collection agent solely for the limited purpose of accepting funds from Guests purchasing such services. Each Host agrees that payment made by a Guest through Wanderglade or the PSP shall be considered the same as payment made directly to the Host, and the Host will make that accommodation available for the Guest’s stay according to the confirmed booking details (e.g. dates, number of guests, accommodation type, etc.) as if the Host received full payment directly from the Guest. Each Host agrees that Wanderglade may refund the Guest per these Terms of Service. Each Host understands that Wanderglade’s and the PSP’s obligation to pay the Host is subject to and conditional upon successful receipt of associated payments from Guests. Wanderglade guarantees payments to Hosts only for amounts successfully received from Guests per these Terms. In accepting appointment as the Host’s limited payment collection agent, Wanderglade assumes no liability for any Host acts or omissions.

20.2 Each Guest acknowledges and agrees that, although neither Wanderglade nor the PSP is a party to the agreement between the Guest and Host, Wanderglade or the PSP acts as the Host’s payment collection agent for the limited purpose of accepting payments from Guests on the Host’s behalf. Upon the Guest’s payment to Wanderglade or the PSP, the payment obligation to the Host for the agreed amount is extinguished, and Wanderglade or the PSP is responsible for remitting funds to the Host as described in these Terms or the PSP Service Agreement. If Wanderglade or the PSP does not remit any such amounts, the Host will have recourse only against Wanderglade or the PSP, not the Guest directly.

20.3 Both Host and Wanderglade agree that no other agency relationship is formed between them. Except as expressly stated otherwise, the Host agrees they are not an independent contractor, partner, joint venture, franchisee, agent, or employee of Wanderglade. The Host agrees not to misrepresent their relationship with Wanderglade to any third parties.

20.4 Wanderglade uses Stripe for payment, analytics, and other business services. Stripe collects identifying information about devices that connect to its services. Stripe uses this information to operate and improve the services it provides to Wanderglade, including for fraud detection. You can learn more about Stripe and read its privacy policy at https://stripe.com/privacy.

Electronic Communications

21.1 Unless specified otherwise by Wanderglade, communications between a user and Wanderglade are by electronic means, whether you visit the site, platform, software, or service, send Wanderglade emails, or Wanderglade posts notices on the software, site, or service or communicates with you via email. Wanderglade may deem phone calls necessary or convenient for dealing with some issues and is hereby authorized to use them as a form of communication. For contractual purposes and normal service execution, you (1) consent to receive communications from Wanderglade electronically; and (2) agree that all terms, conditions, agreements, notices, disclosures, and other information Wanderglade provides you electronically satisfy any legal requirement for written communications. The foregoing does not affect your statutory rights.

21.2 Prior to their stay, the Guest agrees to receive an email whenever the status of their Booking Request changes in any way, including but not limited to a message from the Host, an offer received, a confirmed or declined Booking, etc.

21.3 After a Host confirms a Booking Request, Guests agree to receive one or more emails with (i) the confirmed booking details like Host contact, property address, stay dates, and any additional check-in information from the Host, (ii) a reminder 48 hours before check-in, (iii) any emails from Hosts or Wanderglade staff regarding the confirmed booking, (iv) a post-stay request to rate their stay, leave a review, and/or share photos, and (v) promotional emails with information and/or offers.

21.4 Users can opt in or out of any other promotional emails or newsletters by clicking unsubscribe. Guests can also email support@wanderglade.com for any questions or concerns regarding email communication.

21.5 In certain circumstances, Hosts and Guests may receive emails from our Payment Service Provider including receipts.

21.6 Wanderglade is not liable for any emails not received by the Host or Guest due to issues with their email account delivery. All cancellation policies and terms will still apply for confirmed bookings even if an email is not received due to bounces or delivery issues.

Terms, Termination and Account Cancellation

22.1 This Agreement shall be effective for an initial 30-day term, automatically and continuously renewing for subsequent 30-day terms until terminated by you or Wanderglade in accordance with this provision.

22.2 Wanderglade is not required to allow a user to register or create an account through our service, and we may refuse to provide an account for any reason at our discretion.

22.3 We may, without liability, (a) terminate these Terms or your access to our site, and/or (b) deactivate or cancel your account, with or without prior notice and at any time, if you have materially breached your obligations under these Terms and/or violated applicable laws, regulations, or third-party rights.

22.4 Upon termination, we will promptly pay you any amounts we reasonably determine we owe you at our discretion or are legally obligated to pay. If Wanderglade terminates these Terms, your site access, or deactivates/cancels your account, you will remain liable for all amounts due hereunder.

22.5 You may cancel your account at any time. Note that if cancelled, we have no obligation to delete or return any content you posted to the site, including reviews or user feedback.

22.6 Notwithstanding the above, this does not apply to your personal data, which you can consult, restrict, erase or obtain at any time per our Data Protection Policy. You may terminate the Terms or cancel your account by notifying support@wanderglade.com so we can remove your content.

22.7 If you cancel as a Host, any confirmed booking(s) you are unwilling to honor will be automatically cancelled, and your guests will receive a full refund. If you cancel as a Guest, any confirmed booking(s) will be automatically cancelled and any refund will depend on the cancellation policy terms.

Disclaimers

23.1 The site, any site content, or user content are provided “as is,” without any express or implied warranty. Without limitation, Wanderglade explicitly disclaims warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement, and any warranties arising from course of dealing or usage of trade. Wanderglade makes no warranty that the site, content, listings or accommodations will meet your requirements or be available uninterrupted, secure, or error-free. Wanderglade makes no warranty regarding listing, accommodation or content quality, or the accuracy, timeliness, truthfulness, completeness, or reliability of any content obtained through the site. You are solely responsible for all communications and interactions with hosts, guests, or others resulting from site use, including any hosts or guests. You understand Wanderglade does not attempt to verify user statements or review/visit accommodations. Notwithstanding Wanderglade’s appointment as the limited payment service provider for accepting guest payments on hosts’ behalf, Wanderglade disclaims all liability for any guest, host or third party act or omission.

23.2 If Wanderglade chooses to conduct identity verification or background checks on users, to the extent permitted by law, we disclaim any express or implied warranties that such checks will identify prior user misconduct or guarantee against future misconduct.

23.3 You agree host services may carry inherent risk, and by participating, you voluntarily assume those risks. For example, some host services may risk illness, bodily injury, disability, or death, which you freely and willfully assume by participating. You assume full responsibility for your choices before, during and after participation.

23.4 If bringing a minor guest, you are solely responsible for supervising that minor throughout the host service duration and, to the maximum extent permitted by law, you agree to release and hold Wanderglade harmless from all liabilities and claims arising in any way from any injury, death, loss or harm occurring to that minor during or related to the host service.

The foregoing disclaimers apply to the maximum extent permitted by law.

Limitation of Liability

24.1 You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the site, your listing or booking of any accommodations via the site, and any contact you have with other wanderglade.com users whether in person or online remains with you. While Wanderglade provides liability insurance coverage through its partnership with RentalGuardian, as outlined in section 9.8, this coverage is subject to the terms, conditions, and exclusions of the RentalGuardian insurance policy. Wanderglade is not liable for any damage, injury, or harm that occurs to hosts or their accommodation by a guest or likewise to a guest during their stay, beyond what is covered by the RentalGuardian insurance policy. Notwithstanding any provision of these Terms, if your jurisdiction has specific provisions regarding waiver or liability that conflict with the above, our liability is then limited to the smallest extent possible by law. Specifically, in those jurisdictions not allowed, we do not disclaim liability for: (a) death or personal injury caused by our negligence or that of any officers, employees or agents; (b) fraudulent misrepresentation; or © any liability which it is not lawful to exclude either now or in the future.

24.2 If you reside in a jurisdiction requiring a specific statement regarding release, the following applies. For example, California residents must, as a condition of this agreement, waive the applicability of California Civil Code section 1542, which states, “a general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.” You hereby waive this section of the California Civil Code.

24.3 You hereby waive any similar provision in law, regulation, or code that has the same intent or effect as the aforementioned release. Your ability to use our software is contingent on your agreement with this and all other sections of this agreement. In the event that we may not limit our liability, you agree our total liability to you is not more than $100 USD or the total booking amount you spent while using our site within the last six months, whichever is greater.

Entire Agreement

25.1 These Terms, along with the Data Protection Policy and the Cancellation Policy, constitute the entire and exclusive understanding and agreement between Wanderglade and you regarding the site and any bookings or listings of accommodations made via wanderglade.com. These Terms supersede and replace any and all prior oral or written understandings or agreements between Wanderglade and you regarding bookings, listings of accommodations, or the site.

Assignment

26.1 You may not assign or transfer these Terms, by operation of law or otherwise, without Wanderglade’s prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Wanderglade may assign or transfer these Terms at its sole discretion without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Indemnity

27.1 You agree to defend, indemnify, and hold harmless Wanderglade, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including but not limited to attorney’s fees) arising from:

  • Your use of and access to the Wanderglade site;

  • Your violation of any part of these Terms;

  • Your violation of any third-party right, including without limitation any copyright, property, or data protection right;

  • Any claim that your Content or actions through Wanderglade caused damage to a third party.

27.2 This defense and indemnification obligation will survive this Agreement and your use of the Wanderglade site. You also agree that you have a duty to defend us against such claims, and we may require you to pay for an attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay our reasonable attorneys’ fees, court costs, and disbursements. In the event of a claim described in this section, we may elect to settle with the claiming party/parties, and you shall be liable for the damages as though we had proceeded to trial.

Choice of Law and Settlement of Disputes

28.1 The interpretation of this agreement will be performed in accordance with the laws of the State of Delaware and the United States. The offer and acceptance of this contract is deemed to have occurred in Delaware. In this case, and in the event a dispute needs settlement, the parties will submit themselves before the courts in the State of Delaware.

Force Majeure

29.1 You agree that we are not responsible to you for anything that we may otherwise be responsible for, if it is the result of events beyond our control, including but not limited to acts of God, war, insurrection, riots, terrorism, crime, labor shortages (including lawful and unlawful strikes), embargoes, postal disruption, communication disruption, failure or shortage of infrastructure, shortage of materials, or any other event beyond our control.

Non-Waiver

30.1 We reserve all rights permitted to us under these Terms, as well as under the provisions of any applicable law. Our non-enforcement of any particular provision or provisions of these Terms or any applicable law should not be construed as our waiver of the right to enforce that same provision under the same or different circumstances at any time in the future.

Class Action Waiver

31.1 You and Wanderglade agree that any proceedings to resolve or litigate any dispute, whether through a court of law or arbitration, shall be conducted solely on an individual basis. You agree that you will not seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity. No arbitration or proceeding can be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

Responsibility for Travel Protection Insurance

32.1 Guests hereby acknowledge and agree that as between Wanderglade and the Guest, it is the Guest’s sole responsibility to obtain third-party trip protection insurance to cover trip cancellation/interruption costs, medical costs in case of injury, and accident damage costs.
